These Terms of Service ("Terms") govern your access to and use of the websites, applications and related services operated by Mining Network International ("MNI", "we", "us" or "our") (collectively, the "Platform"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform. Our Privacy Policy explains how we handle personal information.
1. The Platform
MNI provides a mining industry media and information Platform that may include, without limitation: editorial articles and categories; a minesite database and directory (including mining companies and suppliers); an interactive map experience (including third-party mapping technology); magazine and advertising-related pages; a mobile app landing page; search; user accounts and (for authorised roles) dashboard tools; and the optional "MNI AI" assistant for eligible signed-in users. We may add, change or withdraw features over time.
2. Eligibility and accounts
You must be at least the age of digital consent in your country (or 13 years old, whichever is higher) to use the Platform, or you must have a parent or guardian's permission where required by law. If you register an account, you agree to provide accurate information and to keep your login credentials confidential. You are responsible for activity under your account. Some features (including MNI AI) may require a verified email address or additional permissions, as described on the Platform.
3. Acceptable use
You agree not to misuse the Platform. Without limitation, you must not: break the law; attempt to gain unauthorised access to our systems, other users' accounts or data; interfere with or disrupt the Platform; scrape or harvest data in bulk in breach of these Terms or applicable law; upload malware; impersonate others; harass or harm others; or use the Platform to send spam or unsolicited bulk communications. We may suspend or terminate access if we reasonably believe you have breached these Terms or pose a risk to the Platform or other users.
4. Content and intellectual property
Unless otherwise indicated, MNI and its licensors own the Platform, its branding, layout, software and original editorial content, subject to third-party rights (including mapping data, imagery and fonts). You may view and use the Platform for personal, non-commercial browsing unless we give you separate written permission or a feature explicitly allows it (for example, sharing links). You must not copy, modify, distribute, sell or exploit our content or trade marks except as permitted by law or with our consent. Third-party names and logos belong to their respective owners.
5. User and publisher content
If you submit content through authorised channels (for example dashboard tools for approved roles), you represent that you have the rights to do so and that the content does not infringe third-party rights or violate law. You grant MNI a licence to host, display and distribute that content on the Platform as needed to operate the service. Editorial, contractual or employment terms may also apply to specific contributors; where they conflict with these Terms on that content, those specific terms prevail.
6. Third-party services
The Platform relies on third-party services, including but not limited to: hosting and authentication (for example Supabase); maps (Mapbox or as shown in the product); optional Google Analytics where you have consented to non-essential cookies; and Google AI (Gemini) when you use MNI AI. Those providers have their own terms and privacy policies. We are not responsible for third-party services outside our reasonable control.
7. MNI AI assistant
MNI AI is an optional tool that generates responses using automated systems and, where applicable, information retrieved from MNI's database and (in limited cases) external search. Output may be incomplete, outdated or incorrect. MNI AI is not professional, legal, financial, investment, engineering, safety or mining-advice. You must not rely on it as a substitute for qualified professionals or your own judgement. Always verify critical facts, especially for operational, compliance or investment decisions. Use of MNI AI is subject to sign-in, email verification and any limits we apply (including rate or abuse controls).
8. Directory, map and editorial information
Minesites, companies, suppliers and other directory or map information are provided for general information. They may contain errors or omissions or become out of date. Nothing on the Platform is an offer to sell or buy securities; ticker symbols and company information are not investment recommendations. Editorial content reflects the views of contributors or MNI as stated and is not tailored advice for your situation.
9. Disclaimers
To the maximum extent permitted by applicable law, the Platform and all content and features are provided "as is" and "as available". We disclaim all implied warranties (including merchantability, fitness for a particular purpose and non-infringement) except any that cannot be excluded under law (including the Australian Consumer Law, where applicable). We do not guarantee that the Platform will be uninterrupted, error-free or free of harmful components.
10. Limitation of liability
To the maximum extent permitted by law, MNI and its directors, employees and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill, arising from your use of the Platform. Where liability cannot be excluded, our aggregate liability arising out of or relating to the Platform is limited to the greater of (a) AUD $100 or (b) the amounts you paid MNI for the specific paid service giving rise to the claim in the twelve (12) months before the claim (if any). Nothing in these Terms limits liability that cannot be limited under applicable law (including under the Australian Consumer Law).
11. Indemnity
You agree to indemnify and hold harmless MNI and its affiliates from claims, damages, losses and expenses (including reasonable legal fees) arising from your misuse of the Platform, your content you submit, or your breach of these Terms, except to the extent caused by our wilful misconduct or as prohibited by law.
12. Suspension and termination
We may suspend or terminate your access to the Platform or your account at any time, with or without notice, if we reasonably believe it is necessary for security, legal compliance or protection of users. You may stop using the Platform at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability and governing law) will survive termination.
13. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date above. Where changes are material, we will use reasonable efforts to notify you (for example via the Platform or email). Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of New South Wales, Australia, subject to mandatory consumer protections in your place of residence. You submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia.
